1. Introduction

Welcome to Pactify ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Pactify document conversion service, available at https://pactify.io and through our browser extension (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to that organization.

2. Service Description

Pactify provides document conversion services, primarily focusing on converting Markdown files to DOCX format. The Service may include additional features, such as temporary file storage and sharing capabilities.

We offer both free and paid subscription plans. Free users have access to a limited number of conversions per month, with converted files stored for 24 hours. Paid subscribers receive additional features, including unlimited conversions and extended file storage periods (up to 168 hours).

3. Account Registration and Security

While some features of the Service are available without registration, full access may require creating an account. When you register, you agree to provide accurate, current, and complete information. You are responsible for maintaining the security of your account and password.

You agree not to share your account credentials with others and to notify us immediately of any unauthorized use of your account. We cannot and will not be liable for any loss or damage from your failure to comply with these security obligations.

4. User Conduct and Content

You are responsible for all content you submit to the Service and for your conduct while using the Service. You agree to use the Service only for lawful purposes and in a manner that does not infringe on the rights of others or restrict their use of the Service.

Specifically, you agree not to:

• Use the Service to upload or distribute illegal, offensive, or harmful content
• Violate any third-party intellectual property or proprietary rights
• Attempt to circumvent usage limits or technical measures
• Reverse engineer or decompile any part of the Service
• Engage in any activity that interferes with or disrupts the Service
• Use the Service to send spam, malware, or other harmful content
• Attempt to gain unauthorized access to any portion of the Service

We reserve the right to remove any content that violates these Terms and to temporarily or permanently suspend access to the Service for users who violate these Terms.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service and all content, features, and functionality, including but not limited to text, graphics, logos, and software, are owned by Pactify or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

5.2 Your Content

You retain all rights to the content you submit to the Service. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing and improving the Service.

We do not claim ownership of your content. We will not use your content for any purpose other than providing the Service to you, except as otherwise permitted in our Privacy Policy.

6. Subscriptions and Payment

We offer paid subscription plans that provide enhanced features and increased usage limits. By subscribing to a paid plan, you agree to pay the applicable subscription fees as described on our pricing page.

Subscription fees are billed in advance on a recurring basis (monthly or annually), unless otherwise specified. You authorize us to charge your payment method for all fees incurred. All payments are non-refundable, except as required by law or as explicitly stated in these Terms.

We may change our fees at any time by posting the changes on our website. If you do not agree to the fee changes, you must cancel your subscription before the next billing cycle.

7. Termination and Suspension

You may terminate your account at any time by following the instructions on our website. We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, OR RELIABILITY OF THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 IF YOU HAVE NOT PAID US FOR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pactify and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another; or (d) your content. We reserve the right to assume control of the defense of any third-party claim for which you are required to indemnify us.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Pactify is headquartered, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be resolved through binding arbitration in accordance with the rules of the jurisdiction where Pactify is headquartered. The arbitration will be conducted in English, and the arbitral award will be final and binding on the parties.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website. Your continued use of the Service after the effective date of such changes constitutes your acceptance of the revised Terms. We encourage you to regularly review these Terms to stay informed about our practices.

13. General Legal Terms

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Pactify regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice.
